Opinion Foundation Terms of Use

Opinion Foundation ("Opinion," "we," "us," or "our") operates this Website and may offer programs such as grants, community initiatives, research funding, or token‑based claims or reward programs (each, a "Program"). These Terms of Use ("Terms") form a binding agreement between you and Opinion governing your access to and use of the Website and Services.

PLEASE READ THIS AGREEMENT CAREFULLY. BY ACCESSING THE WEBSITE YOU AGREE TO BE BOUND BY THIS USER AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

Definitions

"Website" means opinion.foundation and any pages, portals, subdomains, or interfaces we operate that link to these Terms.

"Services" means the Website, content, and any tools, features, portals, or Programs offered by Opinion through the Website.

"Program" means any grant, funding, reward, claim, points, incentive, community initiative, event, campaign, or similar activity we make available.

"Program Rules" means the specific rules for a Program (eligibility criteria, timelines, allocation methods, claim mechanics, vesting/lockups, compliance requirements, and other terms) published by Opinion on the Website or via official Program documentation.

"Digital Asset" means a blockchain‑based token, cryptocurrency, stablecoin, NFT, or similar digital representation of value or rights.

"U.S. Person" means any "U.S. person" as defined in Rule 902(k) of Regulation S under the U.S. Securities Act of 1933, as amended, and shall include any person located in the United States at the time of accessing or using the Services.

"Wallet" means a non‑custodial blockchain wallet used to interact with the Services.

"On‑chain Data" means publicly available blockchain information such as wallet addresses, transaction hashes, timestamps, and smart‑contract state.

Scope and acceptance

By accessing or using the Website or Services, you agree to be bound by these Terms and any policies incorporated by reference, including our Privacy Policy (see "Privacy"). This includes any Program Rules, which are incorporated into these Terms.

If you use the Services on behalf of an entity, you represent that you have authority to bind that entity, and "you" includes both you and that entity.

All content you access or use through the Website or Services is provided for general informational purposes only and should not be treated as professional advice. You should not act—or decide not to act—based on anything on the Website or any materials we make available from time to time, including blog posts, articles, third-party links, Discord content, news feeds, tutorials, tweets, and videos. Before making any financial, legal, or other decisions involving the Services, you should obtain independent advice from a properly licensed and qualified professional. Nothing in these Terms is intended to create, and these Terms do not create, any fiduciary relationship or fiduciary duties on our part. You agree that any duties or obligations we may owe you arise only if, and to the extent, they are expressly stated in these Terms.

Eligibility and compliance

Minimum Age. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Services.

Authority. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity.

Restricted Persons and Locations. The Services are not offered to, and you must not use the Services if you are: (1) located in, incorporated in, or a resident/citizen of any restricted or sanctioned jurisdiction (including jurisdictions subject to comprehensive sanctions), or (2) listed on or owned/controlled by persons on sanctions lists (e.g., UN, EU, OFAC, UK HMT), or (3) otherwise prohibited from receiving Tokens or using the Services under applicable law.

Export Controls. You agree to comply with applicable export controls, trade restrictions, and economic sanctions laws and regulations. You must not use the Services in breach of such laws, including by transferring Tokens or making Services available to restricted destinations, prohibited parties, or for prohibited end uses.

U.S. Exclusion; No Re-Distribution to U.S. Persons. The Services are not available to U.S. Persons. You represent and warrant that you are not a U.S. Person and that you are not accessing or using the Services from the United States. You further agree that you will not sell, transfer, distribute, or otherwise make available any tokens or rewards you receive through the Services to any U.S. Person.

KYC/AML Checks. We may require identity verification, wallet screening, source-of-funds checks, and/or other compliance steps ("KYC") at any time. You agree to provide accurate information and authorize us (and our providers) to conduct such checks. If you fail KYC or refuse required checks, we may deny participation, withhold or cancel rewards, or restrict access, to the extent permitted by law.

Screening; No Circumvention. We may use technical and compliance tools to verify eligibility and enforce restrictions, including IP detection, geolocation, device signals, blockchain analytics, wallet screening, sanctions screening, and third-party verification services. You will not bypass or attempt to bypass geo-blocking, screening, KYC/AML checks, sanctions filters, or other controls (including via VPNs, proxies, routing services, false information, or location spoofing). Any attempted circumvention may result in immediate disqualification, cancellation or withholding of rewards, and suspension or termination of access. You agree not to knowingly transfer or make available any tokens or rewards to any person or entity that would be a Restricted Person or Prohibited Person under this Agreement if they received such Tokens directly.

Automated Screening; Human Review Where Required. Eligibility and compliance screening may involve automated processes (including third-party screening providers). Where required by applicable law, you may request human review, provide additional information, or contest an adverse decision by contacting us and providing sufficient details to identify the relevant Wallet and Program.

Access to Website. Subject to your ongoing compliance with this Agreement, Opinion grants you a limited, revocable, non-exclusive, non-transferable, non-assignable, and non-sublicensable right to access and use the Website and Services solely for your personal use or internal business purposes. You may not use the Website or Services for resale, third-party distribution, or providing services to others, unless Opinion expressly authorizes otherwise in writing.

Change of Website. Opinion may, at its sole discretion and at any time, modify, suspend, discontinue, or remove the Website or any portion of the Services (including any features, functionality, tools, or content), and may impose usage limits or other restrictions, in whole or in part, with or without notice, to the extent permitted by applicable law. You acknowledge that Opinion has no obligation to provide updates or to continue making any particular feature, tool, content, or functionality available. To the maximum extent permitted by law, Opinion will not be liable for any modification, suspension, discontinuance, deletion, or unavailability of the Website or any part of the Services.

Accounts, wallets, and security

Some Services may allow or require you to create an account, submit an application, or connect a Wallet.

Non‑custodial; no access to keys. Unless explicitly stated in a Program Rule, the Services are non‑custodial. Opinion does not control, custody, or have access to your Wallet, private keys, or seed phrase and cannot recover them.

User responsibility. You are solely responsible for:

Transaction finality. Blockchain transactions are generally irreversible. You accept the risk of loss due to user error, wrong addresses, wrong networks, compromised Wallets, or third‑party wallet/provider failures.

Anti‑phishing. We will never ask for your private keys or seed phrase. You are responsible for verifying that you are using official Opinion channels and authentic URLs. Losses due to scams, impersonation, or phishing are your responsibility to the extent permitted by law.

User content and submissions

"User Content" means any content you submit to us, such as grant applications, proposals, messages, feedback, code, text, images, or other materials.

You represent that you have all rights necessary to submit User Content and that submitting it does not violate law or third‑party rights.

License to Opinion. Except where prohibited by law, by submitting User Content you grant Opinion a worldwide, non‑exclusive, royalty‑free, transferable, sublicensable license to use, host, store, reproduce, modify, create derivative works, display, publish (where relevant), and distribute such User Content:

Confidentiality note. Do not submit sensitive personal data, private keys/seed phrases, or highly confidential trade secrets unless a Program Rule or separate written agreement expressly requests and protects such information.

Programs and Program Rules

Participation in any Program is voluntary and subject to these Terms and the applicable Program Rules.

Program Rules control: If these Terms conflict with Program Rules, Program Rules control for that Program.

Discretion; no guaranteed rewards: Participation does not guarantee selection, funding, or receipt of any reward or benefit. Opinion may cap, prorate, reduce, deny, or cancel benefits in its discretion, subject to applicable law.

Modification or cancellation: Opinion may modify, suspend, or cancel a Program (including eligibility criteria, timelines, allocation logic, or distribution mechanics) for legal, compliance, security, or operational reasons, and will not be liable for such changes to the extent permitted by law.

Intellectual property

Our IP. The Website and Services are protected by copyright, trademark, patent, trade secret, and other applicable laws in the relevant jurisdictions worldwide. As between you and Opinion, you acknowledge and agree that the Website and Services (including all content, features, functionality, tools, software, designs, text, graphics, logos, and other materials) and all related intellectual property rights are owned exclusively by Opinion and/or its licensors.

Limited Use. Except for the limited license expressly granted to you under this Agreement, you may not, directly or indirectly, use, copy, reproduce, distribute, license, sell, assign, transfer, publish, post, publicly display, publicly perform, transmit, broadcast, adapt, modify, translate, create derivative works from, or otherwise exploit any portion of the Website or Services (including any features, functionality, or tools), in any form or by any means. You also may not sublicense any rights granted under this Agreement.

No removal. You must not remove, alter, or obscure any copyright notices, trademark legends, service mark notices, patent markings, or other proprietary rights notices displayed on or accompanying the Website or Services. You may not use Opinion's trade names, trademarks, logos, or service marks without Opinion's prior written consent, except as expressly permitted under this Agreement.

Reservation of Rights; No Implied Licenses. No rights or licenses are granted to you by implication, estoppel, or otherwise under any intellectual property rights owned or controlled by Opinion or its licensors, except for the limited, revocable rights expressly granted in this Agreement. All rights not expressly granted are reserved by Opinion and its licensors.

Feedback. If you submit or make available any feedback, comments, ideas, suggestions, or proposed improvements relating to the Website or Services ("Feedback"), you agree that: (i) such Feedback is provided on a non-confidential basis, and (ii) Opinion may freely use, reproduce, modify, commercialize, and otherwise exploit the Feedback without restriction or compensation. To the extent permitted by applicable law, you hereby irrevocably assign to Opinion all right, title, and interest in and to such Feedback, and waive any moral rights you may have in the Feedback.

Prohibited conduct

You agree not to, and not to attempt to:

Manipulate Eligibility. Use sybil attacks, multiple wallets, bots, scripts, wash trading, spoofing, or other behavior intended to game Program rules.

Exploit or Attack. Exploit vulnerabilities, bypass security, interfere with the Website, or attempt unauthorized access.

Provide False Information. Misrepresent identity, location, eligibility, or compliance status.

Infringe IP / Misuse Content. Copy, reproduce, modify, create derivative works from, distribute, transmit, publish, display, perform, store, or otherwise use any Website or Service content that is protected by copyright, trademark, patent, trade secret, or other intellectual property or proprietary rights of Opinion or any third party, except as expressly permitted by this Agreement or with the prior written consent of the applicable rights holder.

Scrape or Harvest Data. Access, search, index, collect, or harvest information from the Website or Services by automated means, including scraping, crawling, spidering, or use of bots, scripts, or similar tools, except where expressly permitted by us in writing.

Mirror/Frame/Brand Misuse. Use, display, mirror, or frame the Website or Services (or any feature, functionality, tool, or content), or use Opinion's name, trademarks, logos, or other proprietary information, without our prior written consent.

Disrupt or Compromise Systems. Interfere with, disrupt, degrade, damage, or compromise the integrity, security, or performance of the Website, Services, or our systems, or the access or use by any user, host, or network, including through introducing malware or conducting denial-of-service attacks.

Reverse Engineer. Attempt to decipher, decompile, disassemble, or reverse engineer any software, code, or underlying technology used to provide the Website or Services (except to the extent such restriction is prohibited by applicable law).

Abuse or Violate Terms. Otherwise misuse the Website or Services, violate this Agreement or any applicable Program Rules, or engage in conduct that is unlawful, deceptive, or harmful.

Assist or Encourage Violations. Attempt any of the foregoing, or advocate, encourage, aid, or assist any third party in doing any of the foregoing.

Circumvent Restrictions. Evade geo-blocking, KYC, sanctions screening, or other controls.

Privacy

Our Privacy Policy describes how we collect and use personal data. The Privacy Policy is incorporated by reference into these Terms. The Privacy Policy is available at https://opinion.foundation/privacy.

Disclosure of Risk

High Risk. Digital Assets are highly volatile and risky.

Regulatory Risk. Laws and regulations may change or be interpreted in ways that restrict Programs, affect Tokens, require reporting, or make certain activities unlawful in some jurisdictions.

Technology Risk. Risks include (without limitation) smart contract bugs, protocol attacks, chain reorganizations, validator failures, bridges/oracles failures, network congestion, and transaction delays.

Third-Party Services. The Services may include, link to, or integrate with certain third-party websites, products, or services ("Third-Party Services"). If you access or use any Third-Party Service—whether by clicking a link or otherwise—we may not notify you that you are leaving our Services, and your activity will be governed by the terms and policies (including privacy policies) of that third party.

Third-Party Services are not controlled by Opinion, and Opinion is not responsible for their content, availability, security, or performance. Any links or integrations are provided solely for convenience. Opinion does not review, approve, monitor, endorse, warrant, or make any representations regarding any Third-Party Service or any products or services offered through them.

Disclaimers and no warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ANY PROGRAMS, CONTENT, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.

Opinion does not guarantee uninterrupted, secure, error‑free operation, or that any program benefit will be available, timely, accurate, or have any value.

Limitation of liability

YOU UNDERSTAND AND AGREE THAT YOU ACCESS AND USE THE WEBSITE AT YOUR SOLE DISCRETION AND RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE OPINION AND WAIVE ANY AND ALL CLAIMS AND CAUSES OF ACTION ARISING FROM OR RELATING TO ANY DAMAGE OR HARM RESULTING FROM THE FOREGOING. WITHOUT LIMITING THE ABOVE, OPINION DISCLAIMS ALL LIABILITY RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY. WE WILL NOT BE LIABLE FOR LOSSES ARISING FROM SMART CONTRACT FAILURES, BLOCKCHAIN ISSUES, USER ERROR, WALLET COMPROMISE, OR THIRD‑PARTY SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE FEES YOU PAID TO US (IF ANY) IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the greatest extent permitted by applicable law, and consumer rights are not waived where non‑waivable.

Indemnification

You agree to defend, indemnify, and hold harmless Opinion and its directors, officers, employees, contractors, agents, and affiliates from and against claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your User Content, your violation of these Terms, or your violation of law or third‑party rights.

Fees and payments

Access to the Website may be free. If Opinion charges fees for a particular Service or Program action, we will disclose them prior to your use. You are responsible for third‑party and network fees (including gas) unless Program Rules state otherwise.

Suspension and termination

Opinion may suspend or terminate your access to the Services or participation in any Program at any time if we reasonably believe you violated these Terms, Program Rules, or law, or if necessary for compliance or security. Upon termination, your license to use the Services ends immediately.

Changes to these Terms

We may update these Terms from time to time. Changes will be effective upon posting unless stated otherwise. Your continued use after changes means you accept the updated Terms.

Notices

We may provide notices via the Website, by email (if you provided one), or through other reasonable means. You may send notices to Opinion using the contact details below.

Dispute resolution and governing law

Governing Law. This Agreement and any dispute arising out of or relating to this Agreement or the Services shall be governed by the laws of the British Virgin Islands, without regard to conflict of laws principles.

Arbitration. Any dispute, controversy, difference or claim arising out of or relating to this Agreement, including the existence, validity or termination thereof, shall be referred to and finally resolved by arbitration administered by the Asia Pacific International Arbitration Chamber Hong Kong Arbitration Center in accordance with its arbitration rules in force when the Statement of Claim is submitted. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English. The number of arbitrators shall be one. The governing law of the contract shall be the substantive law of the British Virgin Islands. The arbitral award shall be final and binding on both parties.

Class Action Waiver; Individual Proceedings Only. You and Opinion agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

Injunctive and Equitable Relief. Nothing in this Agreement prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to preserve the status quo or to protect intellectual property rights, confidential information, or the security or integrity of the Services, pending the constitution of the tribunal.

Miscellaneous

Entire Agreement. This Agreement, together with Program Rules and any incorporated policies, is the entire agreement between you and us regarding the Services.

Severability. If any provision is invalid, the remainder remains in effect.

Assignment. You may not assign this Agreement without our consent. We may assign it as part of a merger, acquisition, reorganization, or sale of assets.

No Waiver. Failure to enforce any provision is not a waiver.

Force Majeure. We are not liable for failures due to events beyond our reasonable control (including network failures, chain outages, hacks, legal changes).
